Software License Agreement
			VisualWorks® and Related Products - Non-Commercial Version
								Eval/Personal Education

The software ("Software") is furnished to you subject to these terms and conditions. Downloading the Software, or any retention, use or copying of the Software, constitutes acceptance of the terms of this Agreement. This is the entire agreement between the parties with respect to the Software and supersedes all prior or contemporaneous agreements. This Agreement may only be modified in writing by the Licensing Manager of ObjectShare, Inc. This Agreement is governed by the laws of California and the United States of America ("US") without regard to conflict of laws principles. The Software is owned or licensed by ObjectShare and protected by US intellectual property laws and applicable international laws and treaties. You may not remove or alter ownership and copyright notices embedded in or on the Software. No title to any intellectual property in the Software is assigned under this Agreement. Licensee agrees to comply with all applicable laws and shall not use, ship, transfer or re-export the Materials in contravention of the Export Administration Act and related regulations of the US.

By accepting the terms and conditions of this Agreement, you are granted the non-exclusive right to:
	-	Use the Software for the following non-commercial purposes only: evaluation (of the Software), or personal education (learning related to the Software).
	-	Distribute copies of the Software in unmodified form to persons who have agreed to the terms of this license agreement.
	-	Distribute, without charge of any kind, applications developed using the Software to persons who have agreed to use such applications for non-commercial purposes, pursuant to a license agreement containing terms and provisions at least as restrictive and protective of ObjectShare's rights and interests as this Agreement.

You may not:
	-	Decompile, disassemble or reverse-engineer the Software.
	-	Use, copy, sub-license, sell or distribute the Software or applications developed using the Software, except as expressly allowed hereunder.

ObjectShare may, in its sole discretion, modify the Software at any time or remove it from availability or revoke any of the rights granted hereunder. ObjectShare has no obligation to update, maintain or correct operational errors in the Software.

All risk in using the Software is assumed by you. OBJECTSHARE SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER ARISING FROM USE OF THE SOFTWARE. YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS OBJECTSHARE FROM AND AGAINST ANY SUCH DAMAGES.

OBJECTSHARE DISCLAIMS ALL WARRANTIES EXPRESS OR IMPLIED INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
